1. Acceptance of Terms

By accessing and using the services provided by DeeprThoughts ("Company," "we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") govern your use of our website, applications, and services (collectively, the "Services"). These Terms constitute a legally binding agreement between you and DeeprThoughts.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. User Responsibilities

When using our services, you agree to:

• Maintain the security of your account credentials
• Use our services in compliance with all applicable laws
• Not engage in any fraudulent or harmful activities
• Respect intellectual property rights
• Not interfere with or disrupt our services
• Not use our services for any illegal purposes

4. Payment Terms

4.1 Accepted Payment Methods

We accept the following payment methods through our secure payment gateways:

• UPI (Unified Payments Interface)
• Credit and Debit Cards (Visa, Mastercard, RuPay, American Express)
• Net Banking (all major Indian banks)
• Digital Wallets
• International payments

4.2 Pricing and Billing

• All prices are listed in Indian Rupees (INR) unless otherwise specified
• Prices are inclusive of applicable taxes (GST)
• We reserve the right to change prices at any time
• For services, payment terms will be specified in individual project agreements
• For digital products, full payment is required before delivery

4.3 Payment Authorization

By providing payment information, you:

• Represent that you are authorized to use the payment method
• Authorize us to charge the specified amount
• Agree that we may store your billing information for future transactions
• Understand that failed payments may result in service suspension

4.4 Failed Payments

In case of payment failure:

• We will notify you via email or SMS
• You have 7 days to complete the payment
• After 7 days, the order may be cancelled
• Repeated failed payments may result in account restrictions

4.5 Recurring Payments

For subscription services:

• You authorize recurring charges at the specified interval
• You will be notified before each renewal
• You may cancel subscriptions at any time before the renewal date
• No refunds for partial subscription periods

5. Refunds and Cancellations

• Digital products: No refunds once delivered or downloaded
• Services: Refunds based on work completed and project stage
• Subscription services: Cancellation effective at end of billing period
• Refund requests must be submitted within 14 days of purchase
• Refunds will be processed within 7-14 business days

6. Project Terms and Conditions

6.1 Project Scope

All projects will be governed by a separate project agreement that outlines specific deliverables, timelines, and requirements. This agreement will supplement these Terms of Service.

6.2 Payment Terms for Projects

Payment terms will be specified in individual project agreements. Generally:

• A deposit may be required before project commencement
• Milestone-based payments for larger projects
• Payments are due within 15 days of invoice date
• Late payments may incur additional fees (1.5% per month)
• Work may be suspended for overdue payments

6.3 Changes and Modifications

Changes to project scope may result in additional costs and timeline adjustments. All changes must be agreed upon in writing through a formal change request process.

7. Digital Products and Downloads

7.1 License

When you purchase digital products (apps, templates, code, etc.), you receive a non-exclusive, non-transferable license to use the product subject to:

• No resale or redistribution without written permission
• No modification for resale purposes
• Usage limited to the terms specified in the product license

7.2 Delivery

Digital products are delivered via:

• Download links sent to your registered email
• Access through your account dashboard
• App store links for mobile applications

Delivery is typically immediate after payment confirmation.

7.3 Technical Requirements

You are responsible for ensuring your devices meet the technical requirements specified for each digital product. No refunds will be provided for incompatibility issues that were clearly stated in the product description.

8. Intellectual Property Rights

8.1 Client Ownership

Upon full payment, clients will own the intellectual property rights to custom-developed software, subject to any third-party components or pre-existing materials.

8.2 Company Rights

We retain the right to:

• Use general knowledge and experience gained during projects
• Showcase completed work in our portfolio (with client permission)
• Reuse non-proprietary code and methodologies
• Retain ownership of our proprietary tools and frameworks

8.3 Third-Party Components

Projects may incorporate third-party libraries, frameworks, or services subject to their respective licenses and terms.

9. Confidentiality

We understand that clients may share confidential information during the course of our work together. We commit to:

• Maintain strict confidentiality of proprietary information
• Use confidential information solely for project purposes
• Not disclose confidential information to third parties
• Return or destroy confidential information upon request

A separate Non-Disclosure Agreement (NDA) may be executed for additional protection.

10. Warranties and Disclaimers

10.1 Service Warranty

We warrant that our services will be performed in a professional manner in accordance with industry standards. We will correct any defects in our work at no additional cost for a period specified in the project agreement.

10.2 Disclaimer

Except as expressly stated, our services are provided "as is" without warranties of any kind. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

10.3 No Warranty for Third-Party Services

We are not responsible for the performance of third-party services including payment gateways, hosting providers, or third-party APIs.

11. Limitation of Liability

To the maximum extent permitted by law, our liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.

We shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages resulting from third-party services or components
• Issues arising from client's failure to maintain or update software
• Losses due to unauthorized access to your account

12. Dispute Resolution and Chargebacks

12.1 Dispute Resolution

In case of any dispute:

• Contact us first at disputes@deeprthoughts.com
• We will attempt to resolve the issue within 15 business days
• If unresolved, disputes will be subject to arbitration as per Section 12.3

12.2 Chargebacks

Before initiating a chargeback with your bank or card issuer:

• You must first contact us to attempt resolution
• Unjustified chargebacks may result in account suspension
• We reserve the right to dispute fraudulent chargebacks
• Repeated chargebacks may result in permanent account ban

12.3 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration in Pune, Maharashtra, India, in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English.

13. Force Majeure

We shall not be liable for any delay or failure in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government regulations, or technical failures.

14. Termination

14.1 Termination by Client

Clients may terminate projects with written notice. Payment for work completed up to the termination date will be due.

14.2 Termination by Company

We may terminate our services in cases of:

• Non-payment or breach of payment terms
• Violation of these terms
• Abusive or inappropriate behavior
• Illegal activities
• Fraudulent payment activity

14.3 Effect of Termination

Upon termination:

• All outstanding payments become immediately due
• Access to services may be revoked
• Your data will be retained as per our Privacy Policy

15. Support and Maintenance

Post-launch support and maintenance services may be provided under separate agreements. Support may include:

• Bug fixes and error corrections
• Security updates and patches
• Performance optimization
• Feature enhancements
• Technical assistance

Support terms, response times, and costs will be specified in separate support agreements.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

17. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after such changes constitutes acceptance of the modified Terms.

For significant changes, we will:

• Post a notice on our website
• Send email notification to registered users
• Update the "Last Updated" date

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

19. Entire Agreement

These Terms, together with any project-specific agreements, Privacy Policy, Refunds Policy, and other referenced documents, constitute the entire agreement between you and DeeprThoughts regarding the use of our services.
